Overview
Nerina practices international M&A with a particular focus on the energy and infrastructure sectors.
Nerina has extensive experience in corporate transactions across the entire lifecycle of energy projects – from setting up renewable energy platforms and joint ventures to the disposal of ready-to-build (RTB) and operational assets and portfolios.
Nerina also has broad experience in M&A and restructuring within the UK, European and African markets, private equity and general corporate and commercial law.

Nerina was a member of the team advising / acting for:
- Railways Pension Trustee Company Limited on its acquisition of a 25% interest in Verdis, the leading Nordic municipal waste collection operator, from Cube Infrastructure Managers.*
- UCED, the energy division of Creditas Group, on its acquisition of GGE a.s, a Slovak energy and heat producer and distributor with a portfolio comprising 213 MW heat and 70+MW electricity networks, from Infracapital.*
- Lightsource bp on its disposal of a portfolio of 58 operational assets to a consortium comprising GLIL Infrastructure and Bluefield Solar Income Fund.*
- Ørsted on its phased investment into One Earth Solar Farm (which holds an early stage solar project with co-located battery storage) and its shareholding arrangements with PS Renewables.*
- Creditas Assets (a Czech investment fund) on its acquisition of InterGen Projects (UK) Ltd, one of the largest independent power producers in the UK with around 2,800MW in operation between three combined cycle gas turbine (CCGT) plants and one open cycle gas turbine (OCGT) plant as well as a 450MW battery energy storage system project due to commence operations in 2025.*
- Ampyr Idea AssetCo UK Ltd (part of the Ampy Distributed Energy group) on various acquisitions of early stage solar projects.*
- SEEIT HoldCo Ltd on its joint venture arrangements with EVN Group Ltd.*
- Ørsted on its acquisition of a majority stake in the 100MW Salamander floating offshore wind development project on the Scottish coast by entering into a joint venture partnership with Simply Blue Group.*
- Lightsource bp on its disposal of a 20.627MWP solar PV project in the UK to Greencoat Solar Assets II Ltd.*
- Lightsource bp on the sale of the 100MW Camden solar photovoltaic portfolio to Next Energy Solar Fund (NESF) for approx. GBP 64.3 million.
- CNG Fuels Ltd on an initial GBP 80 million funding by Foresight Group in a joint venture to build a nationwide network of refueling stations that will allow heavy goods vehicles (HGVs) to run on carbon neutral fuel. This project won the IJ Global’s ESG Transport deal of the year award, 2021.*
- LeapFrog Investments, a Profit with Purpose investment firm, on its acquisition of a 16.94% stake in Fidelity Bank Ghana Ltd (Ghana’s largest privately owned bank) from Amethis and Edmond de Rothschild Equity Strategies (including advising on its shareholding arrangements following such acquisition).*
- R.L. Morrison & Co (NZ) on the establishment of its European renewable energy platform, Galileo Green Energy GmbH (including advising on the shareholder arrangements between Infratil Europe Limited, Guardians of New Zealand Superannuation, Commonwealth Superannuation Corporation and MGIF European Renewables (Pty) Ltd).*
- Copenhagen Infrastructure Partners on its joint venture with a local developer in Vietnam for the purposes of co-developing offshore wind farms in the Binh Tuan province of Vietnam.*
- Circle Gas Ltd on its acquisition of KopaGas (Kenya), by way of an asset purchase of the KopaGas technology and an acquisition of the shares in Kopa Tech Ltd.*
