Overview
Michael is an Associate in the Mergers and Acquisitions 1 team, forming a part of the broader Mergers and Acquisitions practice of our Sandton office. He has experience assisting clients with local and multinational private and public M&A transactions across a number of industries, including oil and gas, food and beverages, manufacturing, transport and logistics, and pharmaceuticals.
In addition to his transactional experience, Michael has experience assisting South African private companies in South Africa with, amongst other things, corporate governance advice, internal restructuring transactions, the implementation of long-term management incentive schemes, and upstream and downstream private equity fund assistance.
Experience
Michael has assisted:
- The Coca-Cola Company in respect of the ongoing sale of a 75% controlling interest in Coca-Cola Beverages Africa to Coca-Cola HBC. The transaction valued 100% of Coca-Cola Beverages Africa at an equity value of USD 3.4 billion.
- Traxtion Sheltam in respect of its capital raise to fund its R3.4 billion rolling stock investment program to expand freight capacity and support South Africa’s rail reform agenda.
- AutoX in relation to the acquisition of 100% of the shareholding in the Zimco Group to enhance their position in the South African lead acid battery market.
- Munters AB in respect of the global divestment of its food-tech business to Grain & Protein Technologies.
- AECI in respect of its divestment of its Food & Beverage business as a going concern to a South African-based private equity company.
- Landis+Gyr in respect of its divestment of its EMEA business to AURELIUS.
- Various private clients in respect of the corporate structuring and implementation of long-term incentive schemes for key management.
- Lenders such as Investec and RMB with private equity fund advice and fund due diligence reviews in respect of their lending to various large African private equity funds.
