Overview
Doné is an associate in our Cape Town office, specialising in the General Finance Practice. She has experience in debt capital markets (DCM), cross‑border and domestic bilateral and leveraged/syndicated finance, and preference share finance transactions.
On the DCM side, she assists issuers, arrangers and dealers with both listed and unlisted notes issuances, the establishment of domestic medium-term note (DMTN) programmes, and rule 144A/Regulation S notes issuances.
She has cross‑border experience in transactions where Bowmans acts as English law counsel to the finance parties. She further supports South African law mandates on complex corporate treasury and restructuring work.

- A selection of Doné’s most recent, significant transactions includes advising:
- PK Investments Ltd on its successful voluntary offer to shareholders of MAS P.L.C., with consideration in cash and/or PKI redeemable preference shares, including the inward listing of a ZAR 20 billion PKI preference share programme on the Cape Town Stock Exchange and the issuance of approximately ZAR 567 million shares under the offer.
- Absa Bank Ltd, Barclays Bank PLC, Citigroup Global Markets Ltd, Merrill Lynch International, Nedbank Ltd, Rand Merchant Bank (London Branch), Standard Chartered Bank and The Standard Bank of South Africa Limited (as the Joint Bookrunners), as South African counsel in connection with Bidvest Group (UK) plc’s issue of US$500 million 6.200% senior notes due 2032, guaranteed by The Bidvest Group Ltd.
- Citigroup Global Markets Ltd, RBC Capital Markets, LLC, Scotia Capital (USA) Inc., J.P. Morgan Securities plc, Merrill Lynch International, MUFG Securities EMEA plc, Barclays Bank PLC, Nedbank Ltd, Standard Chartered Bank and The Standard Bank of South Africa Limited (as the Managers) as South African counsel in connection with Windfall Mining Group Inc.’s issue of U.S.$750 million 5.854% guaranteed notes due 2032 listed on the Irish Stock Exchange plc.
Cross-border financing transactions
- Assisting in transactions where Bowmans acted as English law counsel to The Standard Bank of South Africa Limited, alongside a syndicate including (i) Stanbic Bank and its affiliates, (ii) British International Investment plc, (iii) Africagogreen Fund for Renewable Energy and Energy Efficiency, Investments S.C.S., Sicav-Raif, (iv) Fei-Ogef LP, (v) Nithio FI B.V., (vi) Solar Energy Transformation Fund LLC, (vii) Nederlandse Financierings-Maatschappij Voor Ontwikkelingslanden N.V. and (viii) International Finance Corporation, on a suite of financing updates for the M-KOPA group across Kenya, Uganda, Nigeria and Ghana.
Domestic financing transactions
- Assisting South32 on the South African group restructure via a one‑day implementation aligned with a tax structuring memorandum. We drafted / coordinated the implementation agreement (including a section 45 intra‑group transfer), all Companies Act actions and conditions precedent, MOI amendments, promissory note distributions and set‑off/confusion mechanics. We managed the company secretarial deliverables and funds‑flow confirmations and liaised with local counsel and tax/accounting advisers.
