Overview
Carmen specialises in construction project advisory and disputes as well as project financing. Having started her career in construction dispute resolution with a focus on alternate dispute resolution, Carmen has more recently helped her clients close on project financing across several African jurisdictions.
Carmen has assisted in the drafting and review of construction contracts, operation and maintenance agreements, management services agreements and professional services agreements. Carmen has assisted in a number of disputes arising mainly from standard form construction contracts as Contractor and Subcontractor counsel. Carmen has further assisted in a number of project finance deals as Lender and Sponsor counsel, preparing and reviewing finance facility and ancillary agreements.

- An Employer in the drafting and conclusion of the Project Documents necessary for the construction of a photovoltaic solar energy generating facility to, amongst others, the Southern African Power Pool, with a generation capacity of up to 100 MW(AC) in Matshelagabedi, Botswana.
- An Employer in the drafting and conclusion of an Engineering, Procurement and Construction Contract for their Turnkey Project involving Two 20MWAC Power Generation Facilities in Zambia.
- An Employer in the drafting and conclusion of Project Documents necessary for the relocation and reassembly of their production line from Angola to South Africa.
- The Sponsor and Borrower in the Project Financing of a 100 MW Sonvanger Solar Photovoltaic (PV) Project, southwest of Theunissen in the Free State Province, South Africa.*
- The Lenders in a USD500 million development of two new energy-efficient cement production lines in Nigeria.*
- The Lenders in the financing of an expansion of the existing 1,000 bopd mini refinery in Nigeria.*
- The Lender in its financing of a Bangladesh bank for the financing of sustainable infrastructure projects.*
- One of the main Contractors on the Medupi and Kusile Power Stations in the resolution of various disputes between the Contractor and its Subcontractors.*
