She has worked on complex transactions across the mining and renewable energy sectors, including cross-border investments and strategic joint ventures. Her experience includes working on the negotiation and drafting of shareholders’ and subscription agreements, and corporate restructures for listed and unlisted entities. She regularly supports mining and energy companies with governance, regulatory compliance, and company secretarial matters.

Experience

  • African Rainbow Minerals Limited – in relation to the implementation of a funded equity collar over ARM’s shareholding in Harmony Gold Mining Company Limited, including structuring, compliance with the Financial Markets Act, settlement mechanics, and disclosure considerations under the JSE Listings Requirements.
  • African Rainbow Minerals Limited – in relation to the internal restructure of Opilac Proprietary Limited, including the distribution of Opilac shares to ARM’s holding structure, coordination of implementation steps, preparation of distribution and transfer documentation, and related governance processes.
  • African Rainbow Minerals Limited – assisted ARM with its CAD 30 million strategic private placement in Surge Copper Corp, a Canadian copper exploration company. Work included reviewing and aligning the subscription agreement and shareholders’ arrangements with precedent and regulatory requirements, drafting and commenting on transaction documents, coordinating cross-border legal input, and preparing closing deliverables.
  • Mulilo Energy Renewable Project Developments Proprietary Limited – drafted and reviewed template transaction agreements in relation to renewable energy projects, including shareholders’ arrangements, project development agreements, and compliance with South African energy regulatory requirements.
  • Centre Testing International Group – assisted with drafting and reviewing transaction documents in connection with CTI’s acquisition of Safety SA (a South African testing, inspection, certification, and training company) from Carlyle Sub-Saharan Africa Fund. Scope included the share purchase agreement, shareholder arrangements, and closing resolutions, ensuring alignment with South African regulatory requirements.
  • African Rainbow Minerals Limited – in relation to ongoing company secretarial and governance support, including assistance with regulatory filings, board and shareholder resolutions, safety compliance with other regulatory requirements and Companies Act and JSE compliance.
