Godfree has experience in assisting with advising local and foreign clients on domestic and cross-border mergers and acquisitions and other corporate transactions, including in the telecommunications and energy sectors.
Experience
Godfree formed part of the teams advising:
- Citrico Global SL in relation to its acquisition from San Miguel International Investments S.A. of San Miguel Fruits South Africa Proprietary Limited (SMFSA), as well as the simultaneous acquisition by SMFSA of the remaining 51% ownership interest not already held by it in EC Citrus Investments Proprietary Limited from African Pioneer Beverages Proprietary Limited.
- BTE Renewables on its acquisition of a controlling interest in the 75 MW Prieska solar project in the Northern Cape from Sonnedix for an undisclosed sum.
- SBA Towers South Africa in relation to various acquisitions including assets acquisitions and share acquisitions.
- Yamana Gold Inc. in its proposed USD 6.7 billion acquisition by way of a Canadian plan of arrangement by JSE and NYSE-listed Gold Fields Limited, which Gold Fields abandoned in 2022.
- Hans Merensky Holdings, in relation to its multi-step and cross-jurisdictional corporate restructure and the implementation of its employee share ownership plan (ESOP).
