Sephetha has experience advising lenders and borrowers on secured and syndicated finance, fund finance, structured finance, acquisition finance, mining and resource finance, debt restructurings, public-private partnerships, funding by way of preference shares and real estate finance transactions. He also has experience in debt capital market transactions including the establishment of domestic medium term note programmes as well as note issuances thereunder.
Experience
Recently Sephetha has advised:
- Ecora Resources PLC regarding the purchase of a royalty amounting to USD 10 million in relation to the sale, transfer or other disposal of rare earth products sourced from the Phalaborwa project in Phalaborwa, South Africa. Ecora Resources PLC is an international royalty and streaming company providing capital to the mining sector.
- A private equity client in relation to the raising of funds through the issuing of preference shares for a total subscription amount of ZAR 625 million to be used towards acquiring one hundred percent of the shares in a leading hybrid IT systems integrator and managed services provider company.
- A South African bank in relation to the provision of facilities amount to ZAR ZAR900 million to be utilised by the borrower towards the acquisition of scheme shares through a scheme of arrangement.
- Syndicate of lenders regarding the provision of facilities amounting to ZAR 1,2 billion to be used towards the construction of a data centre in South Africa.
- FirstRand Bank Limited (acting through its Rand Merchant Bank division) in relation to the refinancing and restructuring of McDonald’s South Africa’s debt package.
- The Government of the Kingdom of eSwatini in relation to the establishment of a ZAR 4 billion medium term note programme.
