Overview
Sylvia Mukuna is a senior associate in our Nairobi office and a member of the Corporate Commercial department.
Sylvia leverages her background as a certified financial accountant to be a deeply knowledgeable corporate commercial lawyer, helping clients navigate their complex legal and financial issues to achieve their business goals. Her primary focus lies in mergers and acquisitions and private equity deals, across various sectors in the region, advising local and international clients on a wide range of transactions, and corporate and commercial legal matters.
She is regularly responsible for
(i) undertaking legal due diligence exercises in many high profile Kenyan and cross-border merger transactions and private equity transactions; (ii) drafting and negotiating transaction documents (e.g., share purchase agreements, subscription agreements, business and asset transfer agreements, shareholders’ agreements etc.) for many high profile Kenyan and cross-border transactions; (iii) collaborating with clients in project management of transactions and seeing them through to completion; (iv) providing regulatory and structuring advice for investors seeking to set up in Kenya; and (v) providing general advice on corporate commercial matters and other legal matters.
Sylvia also provides general legal advice and support on various corporate and commercial matters.

- Lipton B.V. on the sale of its tea estates in Kenya, Tanzania and Rwanda.
- IBL Energy Ltd and STOA S.A on their sale of a minority stake in Equator Energy Ltd.
- Style Industries Limited on the sale of its hair products business in Kenya.
- Coca-Cola Sabco (East Africa) on the acquisition of a majority stake in Almasi Beverages Limited, a manufacturing and bottling entity.
- Bioline Agrosciences (InVivo Group) on the acquisition of the Kenyan biocontrol company Dudutech from Flamingo Group International.
- AfricInvest in its acquisition of a minority stake in AutoXpress Limited.
- Oserian Development Company Limited on the sale of its flower business in Kenya.
- mPharma Africa B.V. on the acquisition of a majority stake in Haltons Limited.
- UAP Old Mutual Group in relation to the restructuring of its life insurance business through a scheme of arrangement.
- Kenya Airways PLC on its proposed nationalization and merger with Kenya Airports Authority and delisting from the Nairobi Securities Exchange.
- Commercial Bank of Africa Limited on its merger with NIC Bank PLC covering Kenya, Uganda and Tanzania and valued at about USD 4.4 billion.
- Kenya Airways PLC on its 2017 balance sheet debt and equity restructuring valued at over USD 2 billion.
- International Columbia US, LLC in relation to the sale of its entire stake in a medical centre in Kenya.
