Camilla’s experience includes private M&A transactions, private equity and general corporate law. She has assisted in the implementation of various private M&A transactions in a number of sectors working with a variety of domestic and international clients. She has also assisted in various private equity transactions, including fund formation and investments and divestments . Her experience involves providing corporate advice to a number of industries, including retail, mining, renewable energy, manufacture and telecommunications.
Experience
Camilla has advised and assisted:
- BASF SE, a global leader in the chemical industry, producing a wide range of products including chemicals, materials, agricultural solutions, and performance technologies. Headquartered in Germany, on its € 7.7 billion divestment of its BASF SE’s coating business by way of an auction process. A producer and exporter of high-quality, cost competitive thermal coal in South Africa, on its approximately ZAR 1.2 billion sale of its mining assets, including the mining right, associated assets, immovable properties, mining residue deposits and contracts.
- Oro Agri SA on its acquisition of 10% of the total shares issued in Cosmocel Holdings (Pty) Ltd from Birdberry Holdings (Pty) Ltd by way of a sale of shares transaction.
- One of the global leaders in marketing data, analytics, and consulting, on its restructuring to carve out a part of the business.
- Afrikelp Investments (Afrikelp) in the restructure of Taurus Chemicals Cape Kelp Proprietary Limited (TCCK) for B-BBEE purposes in terms of which the Afrikelp Community Education Trust (ACE Trust), being a qualifying B-BOS, was formed and acquired 17% of the issued shares of TCCK, and Afrikelp acquired an additional 8% of the issued shares in TCCK from the exiting shareholder (Imbambusi Kelp Proprietary Limited) with the result that following the transaction Afrikelp held 49%, the ACE Trust held 17% and Taurus Cape Kelp held 33.8% of the issued shares in TCCK, respectively.
